Software License Agreement

Effective August 2026 · MaterialLogix Studio is a product of LibraSide Technologies, LLC

This agreement governs the software itself - the apps, engines, and license keys. The website's Terms of Service govern the service around it.

Grant

Your license key grants one person a non-exclusive, non-transferable right to install and use MaterialLogix Studio on devices they control, for the term purchased, at the tier purchased. The free tier is licensed for evaluation and personal use without a key.

License verification

Keys minted for paid plans verify periodically with our server. The verification transmits the license key and a timestamp - nothing else. Installs may operate offline for a grace period (currently three days); beyond it, licensed features pause until a check succeeds. Term keys expire at term end plus a short grace.

What you may not do

Share, sell, sublicense, or publish license keys.
Remove, obscure, or defeat preview watermarks, license enforcement, or usage limits, or assist others in doing so. Circumvention of these technological measures may also violate 17 U.S.C. § 1201.
Reverse engineer the licensing components, except where law expressly permits it notwithstanding this term.
Use the software to build a voice-replication dataset or service from audio you lack rights to.

Ownership

LibraSide Technologies, LLC ("we") owns the software, its checks, its designs, and the MaterialLogix marks. You own your projects and outputs. Bundled open-source components remain under their own licenses (attributions) and nothing here narrows the rights those licenses grant you.

Updates and termination

Updates may add, change, or retire features. We may terminate a license for material breach - key sharing, watermark circumvention, or Acceptable Use violations - with refund of any unused prepaid term except in cases of willful abuse. You may stop using the software at any time; refunds per the refund policy.

Warranty and liability

Provided as-is; automated checks assist your judgment and do not replace it. Liability is capped at fees paid in the prior twelve months; no indirect or consequential damages. Some jurisdictions limit these limits; where they do, they apply only to the extent permitted.
